All approved Poppy & Pout retailers agree to the following terms and conditions during the application process. If you have any questions about this agreement, please email our team at wholesale@poppyandpout.com.

ORDERING

NEW ACCOUNTS: New wholesale accounts are required to submit an application prior to approval. Retailers must disclose valid business names, contact information, and domain addresses for any and all websites on which Poppy & Pout products are sold. We require a valid reseller permit number for US accounts in order to mark a wholesale account as tax exempt. Poppy & Pout reserves the right to refuse service at any time, for any reason.

• MINIMUM ORDER: A minimum order of $200.00 USD is required on new account orders and re-orders.
• CASE PACKS: All products must be ordered in quantities of 5 unless otherwise noted. All testers and displays are in a single case pack.

AMAZON & THIRD-PARTY SITES

WE DO NOT AUTHORIZE RE-SELLING THROUGH ANY ONLINE MARKETPLACES (EX: AMAZON, ETSY, EBAY, WALMART, TARGET, ETC.). FAILURE TO ABIDE BY THIS PROHIBITION WILL RESULT IN SUSPENSION TO YOUR ACCOUNT.

• Sales on Amazon.com, Ebay.com, and/or similar third-party sites are strictly prohibited. Retailers selling on sites without prior approval will have their wholesale account terminated. It is Poppy & Pout’s sole discretion whether or not to provide prior notice or issue warnings before discontinuing the wholesale relationship.
• If a retailer operates under, sells as, or Does Business As any name other than the one which the account was registered and/or shipped to, this name must be on file with Poppy & Pout. Poppy & Pout reserves the right to suspend the wholesale relationship should they find a retailer is selling their distributed products under a secondary, unregistered name.
• If a retailer is planning to sell Poppy & Pout products in an online store, it must be owned by the entity applying for the wholesale account.
• Poppy & Pout does not allow any account or retailer to distribute our products to other businesses without prior consent.
• In the event that a retailer sells Poppy & Pout products on a third-party website, the retailer acknowledges and agrees that such unauthorized sales will cause significant harm to Poppy & Pout, including but not limited to brand dilution, loss of goodwill, and decreased market value. Given the extreme difficulty or impossibility of quantifying such harm, the parties agree that for each breach (i.e., for each product listing on a third-party website and for each different third-party website where the product is listed), the retailer shall pay liquidated damages to Poppy & Pout in the amount of $1,000. This amount represents a reasonable and mutually agreed-upon estimate of the damages Poppy & Pout would incur due to such unauthorized sales and is not intended as a penalty.
• If Poppy & Pout is required to take legal action against a retailer for breaching these terms and conditions, the retailer will be responsible for all attorney’s fees and legal costs incurred by Poppy & Pout.
• All disputes arising out of or in connection with these terms and conditions or the retailer's relationship with Poppy & Pout shall be governed by the laws of the State of Idaho, without regard to its conflict of laws principles. The retailer hereby consents and agrees to the exclusive jurisdiction of the state and federal courts located in Idaho for all lawsuits, claims, or disputes between the retailer and Poppy & Pout.
• Poppy & Pout reserves the right not to sell to any reseller found to be in violation of this policy and/or the wholesale terms and conditions. However, Poppy & Pout will not be held responsible for enforcement of this policy or lack thereof. Poppy & Pout will act accordingly when deemed necessary and to the fullest extent of the law.

PRICING/PAYMENT

• WHOLESALE PRICING: All prices are listed in US dollars. Authorized retailers will receive at least 50% off of the MSRP which varies by product. Prices are subject to change without notice.
  
  
• MANUFACTURER SUGGESTED RETAIL PRICE (MSRP): We strongly suggest that all Poppy & Pout products be sold at the manufacturer’s suggested retail price (MSRP). In the event that the retailer decides to place the products on sale, the discount must not be more than 20% below MSRP. Retailers must abide by MSRP or their wholesale account will be terminated.
  
  
• TESTERS: Testers are not to be re-sold for any reason.
  
  
• PROMOS: No additional discounts can be applied during a promotion. Promotions can be applied to new orders only. Price adjustments for previous wholesale orders cannot be accommodated and we are unable to apply promos to currently pending orders.
  
  
• PAYMENT: All orders placed through our wholesale website must be accompanied by immediate payment. Poppy & Pout does not accept return to vendor refunds.
  
  
• NET 60 TERMS: Net 60 terms are currently only available via the Faire wholesale platform for US + Canada brick + mortar stores. Please use our direct link when placing an order for a $100 credit and 1 year of free shipping. (faire.com/direct/poppypout)

SHIPPING/RETURNS

• LEAD TIMES
  Due to the nature of our small business, our lead times will fluctuate from week to week. Please email our team if you require an order by a specific date and we will do our best to accommodate. For orders placed during the holiday season (October-December), we highly recommend placing orders at least 2-3 weeks in advance to ensure timely delivery in the likely event of an increased lead time.
  
  
• HANDLING FEES/IMPORT DUTIES
  The receiver is responsible for all merchandise shipping and handling costs and expenses, which may include customs clearance, import fees, and local taxes. Poppy & Pout is not responsible for any lost or stolen packages once delivered. Any customs/tariffs levied by the import country is the retailer's responsibility and is not included in the shipping cost.
  
  
• CHANGES TO ORDER
  If you need to update your information, edit or cancel your order, please reach to wholesale@poppyandpout.com out as soon as possible after placing your order. Any changes or cancellations to orders cannot be made once the order has shipped. 
  
  
• RETURNS & EXCHANGES
  Poppy & Pout does not accept returns or exchanges on products purchased at wholesale cost. We only accept returns in the case of defective merchandise. If you have any issues with a product that is not selling, please contact our team. 
  
  
• INCORRECT/INCOMPLETE ORDER
  If you have received the wrong products or are missing products, please send an email to help@poppyandpout.com with your order number and brief description of your issue. 
  
  
• DAMAGES/DEFECTS/ERRORS
  Please inspect all shipments immediately upon delivery. In the case of damaged/defective merchandise or shipping errors, you must contact Poppy & Pout within 5 business days of receiving the merchandise.
  
  If you have received damaged products, please send an email to help@poppyandpout.com with your order number and a picture of the damaged products. Poppy & Pout requests proof of damaged merchandise to honor replacements or a credit and a batch number may be required.
  
  
• BACKORDERS
  In the event that a product is oversold or out of stock, Poppy & Pout may backorder this item and ship at a later date or issue a refund. We reserve the right to cancel or backorder items at any time.

EXCLUSIVITY
Poppy & Pout does not offer exclusivity to any account for any reason. We find that our retailers tend to have a high sell through rate regardless of surrounding stores nearby.

CRUELTY-FREE COMPANY
Poppy & Pout affirms that it will not conduct, commission, or be a party to Animal Testing nor allow Animal Testing to be performed by or for submission to regulatory agencies in order to distribute Poppy & Pout's products in foreign markets.

WHOLESALE RESOURCES
Poppy & Pout provides several free digital resources to make selling our products even easier. Resources include hi-res product/lifestyle photos, pre-made social media stories and social media posts. Should you require any additional images, please contact us. We also offer for purchase retail displays, signs, testers and other merchandising items through our “Merchandising” page. Our retail displays have a maximum order of 1 unit per SKU per order. If you require more displays, please contact us directly. Testers are also available at half the cost of wholesale prices. Displaying our testers have been shown to largely boost sales for all retailers. Our testers have a maximum order of 1 unit per SKU per order. DISCLAIMER OF WARRANTY: EXCEPT FOR THE WARRANTIES EXPRESSLY SET FORTH IN THIS AGREEMENT, EACH PARTY DISCLAIMS ALL OTHER WARRANTIES, EXPRESS AND IMPLIED WITH RESPECT TO THE DISTRIBUTION PRODUCTS, INCLUDING WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT AND FITNESS FOR A PARTICULAR PURPOSE.
